SANTA BARBARA, Calif., Aug. 20, 2002 -- Integrated Water Resources Inc. recently terminated its Joint Marketing Agreement with IT Group, Inc. (now Shaw Group, Inc.; "IT").

The JMA was executed in August 2000 for the purposes of worldwide identification, pursuit, bid and contract of remediation services and work utilizing IWR's licensed technologies.

The Technologies, licensed to IWR by the Regents of the University of California, include Dynamic Underground Stripping, Hydrous Pyrolysis/Oxidation (DUS/HPO), Steam Enhanced Extraction (SEE) and Electrical Resistance Tomography (ERT).

IWR continues to independently market and deploy these patented Technologies for environmental cleanup. In addition, pursuant to the JMA, IT granted IWR the first right of refusal to team with IT and perform as subcontractor to IT on projects worldwide involving the presence and movement of fluids through fractured rock media. During the term of the JMA, IT did not provide IWR any such opportunities.
